DEADMARK LEGAL
Terms of Service
These Terms of Service (the “Terms”) are a contract between you and Humble Meteor, LLC, doing business as Deadmark (“Deadmark,” “we,” “us,” or “our”). They govern your access to Deadmark’s websites, workspace, image-markup tools, PDF exports, support, and related services (the “Service”). By creating an account, starting a subscription, or using the Service, you agree to these Terms and our Privacy Policy and Billing, Cancellation & Refund Policy.
1. Eligibility and authority
You must be at least 18 years old and legally able to enter a contract. If you use Deadmark for a company or another organization, you represent that you have authority to bind that organization, and “you” includes it.
2. What Deadmark does
Deadmark helps customers mark up images, organize revision notes and references, and export feedback PDFs. The Service is a communication and workflow tool. It is not a safety inspection, engineering approval, regulatory certification, manufacturing quality-control system, or substitute for professional review. You remain responsible for checking your instructions, exports, source files, and final work.
Deadmark is offered as a beta. Features may change as we improve the Service. We will not materially reduce a paid feature during a current billing period without a reasonable operational or security reason.
3. Accounts and security
Provide accurate account information, keep your credentials secure, and promptly tell us if you suspect unauthorized access. You are responsible for activity under your account unless caused by our breach of these Terms. We may require email verification, multi-factor authentication, or other reasonable security steps.
4. Subscriptions, renewal, and taxes
Deadmark offers monthly and annual subscriptions. The price, billing interval, currency, and any applicable taxes are shown before you authorize payment. Unless you cancel, your subscription automatically renews at the end of each billing period and your payment method is charged the then-current price for the same interval. There is no free trial unless checkout expressly says otherwise.
Stripe processes payments for us. We do not receive or store your full card number. You authorize us and Stripe to charge the payment method you provide for subscription fees, applicable taxes, and any disclosed adjustments. See the Billing, Cancellation & Refund Policy for cancellation, failed-payment, and refund details.
5. Cancellation and access after cancellation
You may cancel renewal at any time from Account → Billing & plan in your workspace. Cancellation takes effect at the end of the paid billing period, so you keep paid access until then. After paid access ends, Deadmark provides a 30-day read-only retrieval period so you can download available exports or information. Authoring and new uploads are disabled during that period. We may delete remaining workspace content after the retrieval period, subject to our Privacy Policy and legal retention obligations.
6. Your content
You retain ownership of images, logos, reference materials, comments, annotations, and other content you upload or create (“Customer Content”). You grant Deadmark a limited, non-exclusive license to host, copy, transform, display, and process Customer Content only as needed to provide, secure, support, and improve the Service for you. This license ends when the content is deleted from our active systems, except for limited backup or legal-retention copies described in the Privacy Policy.
You represent that you have the rights and permissions needed to upload and use Customer Content. Do not upload confidential, regulated, or highly sensitive information unless you have independently decided the Service is appropriate for it. Deadmark stores optimized working copies, not your original source files. Keep your own originals and backups. Files or PDFs you download or share are outside our control and cannot be recalled by Deadmark.
7. Storage and fair use
Your plan includes the storage allowance shown on the pricing and account screens. The current beta allowance is 250 MB of optimized working copies per account. We may prevent additional uploads when you reach the limit, but we will not intentionally delete active paid content merely because the limit is reached without first providing notice and a reasonable opportunity to reduce usage. “Unlimited projects” and “unlimited revision rounds” remain subject to the storage allowance, technical limits, and this fair-use requirement.
8. Acceptable use
You may not use the Service to:
- break the law or violate another person’s rights;
- upload malware, abusive content, or content you do not have permission to use;
- probe, bypass, disrupt, or overload security or access controls;
- scrape, resell, reverse engineer, or commercially exploit the Service except as allowed by law or a written agreement; or
- use automated means that materially interfere with other customers or our infrastructure.
9. Our intellectual property
Deadmark and its software, designs, branding, documentation, and other materials are owned by Humble Meteor, LLC or its licensors. These Terms give you a limited, revocable, non-transferable right to use the Service during your subscription. They do not transfer ownership of the Service or our marks. You may use and share PDFs you generate for your own work and client communication.
10. Service providers and integrations
We use service providers such as Vercel, Supabase, Stripe, Resend, and Cloudflare to operate Deadmark. Their systems may be subject to their own terms and availability. We are responsible for selecting and managing our providers, but we do not control third-party networks, banks, email systems, or devices.
11. Suspension and termination
We may restrict or suspend access when reasonably necessary to protect customers or the Service, investigate suspected abuse, comply with law, address nonpayment, or enforce these Terms. When practical, we will give notice and an opportunity to correct the issue. You may stop using Deadmark at any time; stopping use does not cancel renewal unless you cancel through Billing & plan.
12. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available.” We do not promise uninterrupted or error-free operation, that every file can be recovered, or that the Service will meet a particular legal, regulatory, manufacturing, or professional standard. We do not disclaim rights or warranties that cannot legally be disclaimed.
13. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising from the Service. Deadmark’s total liability arising from the Service will not exceed the greater of $100 or the amount you paid Deadmark during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law or to liability that cannot legally be limited.
14. Indemnity
If you use Deadmark on behalf of a business, that business will defend and indemnify Humble Meteor, LLC from third-party claims caused by its Customer Content, its unlawful use of the Service, or its material breach of these Terms, except to the extent the claim was caused by Deadmark.
15. Governing law and disputes
Pennsylvania law governs these Terms, without regard to conflict-of-law rules. Before filing a claim, please contact us and give both sides 30 days to try to resolve it informally. Any court proceeding must be brought in a state or federal court located in Pennsylvania, unless applicable consumer law requires otherwise. Nothing in these Terms prevents either party from seeking emergency injunctive relief or using an eligible small-claims court.
16. Changes to these Terms
We may update these Terms. If a change materially affects your rights or a paid subscription, we will provide reasonable advance notice by email or in the Service. Changes apply prospectively from the stated effective date. If you do not agree, you may cancel before the change takes effect.
17. General terms
These Terms and the policies linked above are the entire agreement about the Service. If one provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, reorganization, sale, or transfer of the Service. Notices may be delivered electronically.
